Danish Rauf Barred for Refusing to Cooperate with FINRA Investigation into Undisclosed Outside Business Activity

According to FINRA, Danish Rauf (CRD #5006655) of Des Plaines, Illinois, was barred from association with any FINRA member in all capacities after refusing to produce information and documents requested by FINRA in connection with an investigation into whether he solicited investments into an undisclosed outside business activity (OBA).

The AWC was issued on March 4, 2026, with Rauf consenting to the sanction and findings without admitting or denying the underlying allegations.

FINRA rules require registered representatives to disclose outside business activities to their member firm and prohibit representatives from soliciting customers to invest in undisclosed or unapproved outside ventures. These requirements exist to prevent conflicts of interest and to ensure that firms can supervise the outside activities of their registered personnel. When a broker steers customers toward investments in businesses they have not disclosed to their firm — sometimes called undisclosed private securities transactions or selling away — customers take on risks they cannot properly evaluate and are denied the protections of their broker-dealer's supervisory oversight.

Rauf's refusal to produce information and documents requested by FINRA in connection with this investigation constitutes a separate and independent violation of FINRA Rule 8210, which requires all associated persons to provide information and documents when requested by FINRA in connection with an investigation. Non-compliance with Rule 8210 results in a permanent bar from the securities industry.

Investors who believe they were solicited to invest in an outside business or a private deal by a broker — without being directed through the broker's firm — should understand that this is a significant red flag. Such arrangements may be improperly structured, unregistered, and lack the customer protections that apply to transactions conducted through a registered broker-dealer. Any such situation should be reported to FINRA and the relevant state securities regulator.
