George John Cairnes Suspended for Undisclosed Outside Business Activity

According to FINRA, George John Cairnes was assessed a deferred fine of $2,500 and suspended from association with any FINRA member in all capacities for four months for engaging in an outside business activity without providing prior written notice to his member firm.

Cairnes incorporated a limited liability company and worked with a firm customer to identify, buy, manage, and sell real estate. He expected to receive, and did receive, compensation for this business activity. Although the real estate activities were outside the scope of his relationship with his firm, Cairnes failed to provide prior written notice of this business activity.

FINRA Rule 3270 requires registered persons to provide prior written notice to their member firm before engaging in any outside business activity. This notification requirement allows firms to evaluate whether the activity creates conflicts of interest, could interfere with the broker's duties, or might otherwise pose risks to customers.

Compounding the violation, Cairnes falsely stated on firm compliance questionnaires that he was not currently participating in any undisclosed outside business activities. This false attestation prevented the firm from learning about the activity through its normal compliance processes.

The suspension is in effect from October 6, 2025, through February 5, 2026.

For investors, this case illustrates the importance of understanding all of your broker's business activities. If a broker recommends investments or business arrangements outside of their brokerage firm relationship, be aware that these activities may not be supervised by the firm and may not be covered by the same investor protections.

You can verify your broker's disclosed outside business activities through FINRA's BrokerCheck system. If you learn that a broker has undisclosed activities, consider whether this affects your confidence in working with them.
