Global Financial Services Fined for Reg BI and Concentration Supervision Failures

According to FINRA, Global Financial Services L.L.C was censured and fined $50,000 for failing to establish adequate supervisory systems for compliance with Regulation Best Interest and FINRA rules relating to volatility-linked ETPs and foreign currency bond concentration.

The Houston, Texas firm failed to detect that a registered representative made recommendations violating Reg BI's Care Obligation to retail customers and made unsuitable recommendations to non-retail customers. The violations involved volatility-linked exchange-traded products and a foreign currency denominated bond.

The firm's supervisory deficiencies allowed the representative to recommend purchases of the foreign currency bond after its credit rating declined, resulting in concentration levels in customer accounts that were inconsistent with their investment profiles.

Volatility-linked ETPs are complex products that track market volatility indices. These products can experience rapid value changes and are generally unsuitable for long-term holding. Foreign currency denominated bonds add currency exchange risk to the typical risks of bond investing, which can be particularly problematic when concentrated in a single issue.

The combination of these product types—volatility-linked instruments and foreign currency bonds—in the same customer accounts suggests a pattern of complex, risky recommendations that required enhanced supervision.

For investors, this case demonstrates the importance of understanding concentration risk. When a significant portion of your portfolio is invested in a single security or type of security, you're exposed to greater risk if that investment performs poorly. This is especially true for complex products like volatility-linked ETPs or bonds denominated in foreign currencies.
