Texas Broker Stephen Parks Suspended for Selling Private Placements Without Required Registration
According to FINRA, Stephen Glover Parks was assessed a deferred fine of $5,000 and suspended from association with any FINRA member in all capacities for three months (April 10, 2026, through July 9, 2026), following an April 10, 2026 AWC.
Parks acted as his member firm's primary selling agent for at least two private placement offerings despite not holding the registrations required to do so. He solicited investments from retail customers, made presentations to groups of potential investors, provided prospective investors with required offering documents, assisted them in completing those documents, and evaluated whether the investments were in the customers' best interests. These activities collectively constituted securities sales activity requiring registration as a General Securities Representative or Private Securities Offerings Representative. Parks was registered only as an Investment Banking Representative—a registration that did not authorize this type of retail selling activity.
Securities registration requirements exist to ensure that individuals who solicit investments from the public have demonstrated the knowledge and qualifications necessary to conduct those activities responsibly. These examinations test understanding of securities products, regulatory requirements, and the obligations brokers owe to customers—knowledge that is particularly important when selling high-risk, illiquid investments like private placements.
Parks received commissions from one of the two offerings (the other failed to meet its contingency and returned investors' funds). Receiving compensation for activities conducted outside of one's registered capacity compounds the regulatory violation.
Investors considering private placements should verify their broker's registration qualifications through FINRA BrokerCheck before investing. Private placements are complex, illiquid investments typically available only to accredited investors, and brokers recommending them must hold the appropriate registrations and qualifications. A broker who lacks the registration required to offer a specific type of investment may also lack the knowledge and training necessary to evaluate whether that investment is appropriate for your specific situation.
